These are our Terms of Service

Please read this legal document carefully. You will not find unexpected surprises – TIXATOR does not share data with anybody but technical services used in our operations. No reselling, no data sharing, no tracking.

Important: Business customers only (no consumers). In case of conflict, the German version prevails.

1. Scope and Order of Precedence

These ToS govern the use of the Shopify app “Tixator”, including the scanner app and web dashboard (the “Service”). Contract documents in this order: (a) specific order/offer, (b) these ToS, (c) Privacy Policy, (d) Data Processing Agreement (DPA), (e) Shopify terms (App Store/Billing/API).

2. Service

Tixator adds event ticketing to Shopify: create ticket products/events, issue digital tickets, deliver to buyers via Shopify flows, check‑in via scanner app with duplicate/fraud detection, and reporting. The active plan defines features. PLANIS may reasonably modify features without material degradation.

3. Formation, Term, Termination

Install the app and confirm charges (if any) to conclude the contract. Term is open‑ended, aligned to billing periods. You may terminate any time by uninstalling. PLANIS may terminate for convenience with 30 days’ notice or for cause. Effects of termination per Section 12.

4. Fees and Taxes

Plan prices are shown in the app and App Store. Billing is processed by Shopify Billing. Prices are net plus taxes. EU reverse‑charge may apply with a valid VAT ID. PLANIS may adjust prices effective the next term with prior notice.

5. Merchant Duties

Provide accurate data, configure the app, control access. Ensure legal compliance of events, content, and communication. Maintain your own statutory archives. No misuse or security interference.

6. Data Protection and DPA

PLANIS is Controller for merchant account/billing data and Processor for your end‑customer/attendee data.

Privacy Policy:Privacy Policy – TIXATOR. Cross‑border transfers rely on adequacy/SCC plus safeguards.

7. License and Protection

During the term, you receive a non‑exclusive, non‑transferable, non‑sublicensable right to use Tixator with the connected Shopify store. No reverse engineering except as permitted by law. PLANIS retains all IP.

8. Availability and Support

No guaranteed SLA unless expressly agreed. Planned maintenance may cause short interruptions. Support via hallo@planis.de with commercially reasonable efforts.

9. Third‑Party Services and Shopify

Shopify changes may require adjustments. You remain party to your payment/shipping providers. No corporate affiliation between PLANIS and Shopify.

10. Warranties (B2B)

For free/trial use, warranties are excluded to the extent permitted by law. Otherwise, PLANIS will repair or provide a workaround. If that fails, fee reduction applies; further claims follow Section 11. Minor deviations are not defects.

11. Liability

Unlimited for intent, gross negligence, injury to life/body/health, and product liability. For simple negligence, liability exists only for material contractual duties and is limited to foreseeable damages, additionally capped at fees paid to PLANIS in the preceding 12 months. Exclusion of indirect damages and lost profits, except as per first sentence.

12. Data Return and Deletion

Access ends upon termination. On request within 30 days, PLANIS provides available export functions; afterwards PLANIS may delete or anonymize remaining personal data unless statutory retention requires longer storage. Logs/backups may persist temporarily and roll over.

13. Force Majeure

Performance is suspended during events beyond reasonable control.

14. Confidentiality

Mutual confidentiality for non‑public information, with statutory exceptions.

15. Assignment, Set‑off, Retention

Assignment requires consent (except § 354a HGB). Set‑off/retention only with undisputed or finally adjudicated claims.

16. Changes to ToS

PLANIS may update these ToS for good cause (law, security, features), with at least 6 weeks’ notice. Continued use without objection equals acceptance. If you object, PLANIS may terminate effective on the change date.

17. Final Provisions

Governing law: Germany, excluding CISG. Venue: PLANIS’ seat (currently Kiel); PLANIS may also sue at your general venue. Contract language: German.
